Balancify<\/strong>: the enterprise operating under the name Balancify, established in Silvolde, registered with the Dutch Chamber of Commerce under number 99382520.<\/p>\r\n Client<\/strong>: any natural person or legal entity who enters into or intends to enter into an agreement with Balancify.<\/p>\r\n Agreement<\/strong>: any arrangement between Balancify and the Client concerning services.<\/p>\r\n Services<\/strong>: all activities performed by Balancify under an Agreement.<\/p>\r\n These general terms and conditions apply to all offers, quotations, and Agreements of Balancify.<\/p>\r\n<\/li>\r\n Deviations are only valid if agreed upon in writing.<\/p>\r\n<\/li>\r\n The Client\u2019s general terms and conditions are expressly rejected.<\/p>\r\n<\/li>\r\n If any provision is null and void, the remaining provisions shall remain in full force and effect.<\/p>\r\n<\/li>\r\n<\/ol>\r\n Quotations are non-binding and valid for 30 days unless stated otherwise.<\/p>\r\n<\/li>\r\n Prices are exclusive of VAT.<\/p>\r\n<\/li>\r\n Obvious errors or mistakes do not bind Balancify.<\/p>\r\n<\/li>\r\n An Agreement is concluded upon acceptance by the Client and confirmation or commencement of performance by Balancify.<\/p>\r\n<\/li>\r\n<\/ol>\r\n Balancify shall perform the Services to the best of its knowledge and ability.<\/p>\r\n<\/li>\r\n Balancify does not guarantee any specific result.<\/p>\r\n<\/li>\r\n Balancify may engage third parties in the performance of the Services.<\/p>\r\n<\/li>\r\n Deadlines are indicative unless expressly agreed otherwise in writing.<\/p>\r\n<\/li>\r\n Services are not aimed at detecting fraud unless explicitly agreed upon.<\/p>\r\n<\/li>\r\n<\/ol>\r\n The Client shall provide all necessary and accurate information in a timely manner.<\/p>\r\n<\/li>\r\n Balancify may rely on the accuracy of information provided by the Client.<\/p>\r\n<\/li>\r\n Delays resulting from incomplete information shall be at the Client\u2019s expense and risk.<\/p>\r\n<\/li>\r\n<\/ol>\r\n All fees are stated in euros (\u20ac) and exclude VAT.<\/p>\r\n<\/li>\r\n Services are invoiced in accordance with the agreed fixed fee or hourly rate.<\/p>\r\n<\/li>\r\n Balancify may request an advance payment.<\/p>\r\n<\/li>\r\n Fees may be adjusted in case of changed circumstances.<\/p>\r\n<\/li>\r\n<\/ol>\r\n Payment shall be made by direct debit unless agreed otherwise.<\/p>\r\n<\/li>\r\n If direct debit fails, payment must be made within 7 days.<\/p>\r\n<\/li>\r\n In case of late payment, statutory commercial interest shall be due without further notice of default.<\/p>\r\n<\/li>\r\n Collection costs amount to a minimum of 15% of the outstanding amount, with a minimum of \u20ac250.<\/p>\r\n<\/li>\r\n Balancify may suspend its Services in case of payment arrears.<\/p>\r\n<\/li>\r\n<\/ol>\r\n Complaints must be submitted in writing within 10 working days.<\/p>\r\n<\/li>\r\n A complaint does not suspend the payment obligation.<\/p>\r\n<\/li>\r\n If a complaint is justified, Balancify shall, at its sole discretion:<\/p>\r\n remedy or re-perform the Services,<\/p>\r\n<\/li>\r\n apply a reasonable reduction in fees, or<\/p>\r\n<\/li>\r\n partially terminate the Agreement.<\/p>\r\n<\/li>\r\n<\/ul>\r\n<\/li>\r\n<\/ol>\r\n Balancify shall only be liable for direct damage resulting from an attributable failure in the performance of the Agreement.<\/p>\r\n<\/li>\r\n Liability is limited to the amount paid out by the professional liability insurer.<\/p>\r\n<\/li>\r\n If no insurance payout occurs, liability is limited to the fees invoiced in the twelve (12) months preceding the damaging event, with a maximum of \u20ac5,000 per event or series of related events.<\/p>\r\n<\/li>\r\n Balancify shall never be liable for indirect damage, consequential damage, loss of profit, or claims by third parties.<\/p>\r\n<\/li>\r\n Any claim shall lapse if not submitted in writing within twelve (12) months after discovery of the damage.<\/p>\r\n<\/li>\r\n The Client indemnifies Balancify against third-party claims arising from incorrect or incomplete information provided by the Client.<\/p>\r\n<\/li>\r\n<\/ol>\r\n In the event of force majeure, obligations shall be suspended.<\/p>\r\n<\/li>\r\n If force majeure continues, either party may terminate the Agreement without compensation.<\/p>\r\n<\/li>\r\n Services already performed may be invoiced separately.<\/p>\r\n<\/li>\r\n<\/ol>\r\n The Agreement may be terminated in writing with one month\u2019s notice.<\/p>\r\n<\/li>\r\n In case of early termination by the Client, Balancify is entitled to invoice Services already performed.<\/p>\r\n<\/li>\r\n Balancify may terminate the Agreement immediately in case of non-payment or serious breach.<\/p>\r\n<\/li>\r\n<\/ol>\r\n All intellectual property rights remain with Balancify.<\/p>\r\n<\/li>\r\n Documents may not be copied or shared with third parties without written permission.<\/p>\r\n<\/li>\r\n<\/ol>\r\n Balancify processes personal data in accordance with applicable laws and its privacy policy.<\/p>\r\n<\/li>\r\n Depending on the Services, Balancify acts as either data controller or data processor.<\/p>\r\n<\/li>\r\n Where required, a data processing agreement shall be concluded.<\/p>\r\n<\/li>\r\n The Client guarantees that personal data provided has been lawfully obtained.<\/p>\r\n<\/li>\r\n<\/ol>\r\n Balancify shall treat confidential information strictly confidential.<\/p>\r\n<\/li>\r\n Information may only be used for the performance of the Agreement.<\/p>\r\n<\/li>\r\n Exceptions apply where disclosure is required by law.<\/p>\r\n<\/li>\r\n<\/ol>\r\n All Agreements are exclusively governed by Dutch law.<\/p>\r\n<\/li>\r\n Disputes shall be submitted to the competent court in the district where Balancify is
